Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Signalpad platform and services (“Service”) provided by Signalpad (“we,” “our,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@signalpad.app if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account due to your failure to maintain credential security.

You agree not to share your account, transfer it to another person, or create accounts with false information.

3. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to transmit spam, malware, or harmful code
  • Attempt to access, probe, or test the vulnerability of our systems without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to collect data about users without proper disclosure and consent
  • Resell or sublicense the Service without written permission
  • Use the Service in any way that violates applicable law or third-party rights
  • Misrepresent updates or communications delivered through the widget to mislead your end-users

4. End-User Responsibility

You are solely responsible for the updates, communications, and guided flows you deliver to your end-users through the Signalpad widget. You represent that all content you publish through the Service is accurate, non-deceptive, and compliant with applicable laws including consumer protection regulations. You are responsible for obtaining any necessary consents from your end-users for the collection of interaction data as described in our Privacy Policy.

5. Subscription and Payment

Paid plans are billed on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees. All fees are in US dollars.

We may change pricing at any time. Price changes will take effect at the start of your next billing cycle, with at least 30 days notice for increases.

If payment fails on a paid plan, we may suspend access to paid features until payment is resolved. Paid accounts with an unresolved failed payment for more than 30 days may be terminated. Free plan accounts are not affected by this clause and will never be terminated for non-payment.

5a. Refunds

All cancellations are effective immediately and we do not provide refunds or pro-rata credits. When you cancel a paid plan, billing for the workspace will be cancelled immediately and access to paid features ends at the time of cancellation. In exceptional circumstances where a refund is required by applicable law, we will comply.

6. Free Plan

The Free plan is provided at no charge and may include the “Powered by Signalpad” badge on public changelogs. Free plan accounts are not subject to payment-related suspension or termination. We reserve the right to modify Free plan limits or features with reasonable notice, and may discontinue the Free plan with 90 days notice.

7. Intellectual Property

The Service, including its design, code, trademarks, and content, is owned by Signalpad and protected by intellectual property law. These Terms do not grant you any ownership rights in the Service.

You retain all ownership of the content you create and publish through the Service. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content as necessary to provide the Service.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with these Terms and to use it only to fulfill obligations under these Terms. This does not apply to information that is or becomes publicly known through no fault of the receiving party.

9. Data Processing

To the extent applicable law requires, we will enter into a Data Processing Agreement (“DPA”) with you for processing of personal data on your behalf. Contact legal@signalpad.app to request a DPA. Our processing of personal data is governed by our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNALPAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Signalpad and its officers, directors, employees, and agents from and against any claims, damages, losses, and costs (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may terminate your account at any time from the account settings page. We may suspend or terminate your access for violation of these Terms, non-payment, or if we discontinue the Service, with reasonable notice except in cases of serious violation.

Upon termination, your right to use the Service ends immediately. We will retain your data for 30 days before deletion, during which you may export it. Provisions that by their nature survive termination will survive, including Sections 7, 10, 11, 12, and 14.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Signalpad is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice in the Service at least 14 days before taking effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signalpad regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remainder of these Terms continues in full force.
